Glyphz Terms of Service

Welcome to Glyphz! We provide real-world augmented reality platforms that allow you to interact with shared worlds seamlessly blended with the real world. These Terms of Service ("Terms") govern your access to and use of our applications ("Apps"), websites ("Sites"), live events, and any other services we offer (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree with them, you may not use our Services. You should also review our Privacy Policy, which explains how we collect and use your information.

1. Acceptance of Terms

By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines, policies, or rules that we may post on the Services.

You represent and warrant that you have the necessary rights to grant us this license and that your content does not infringe any third-party rights.

7. Virtual Goods and Currency

7.1 Virtual Items

Our Services may include virtual items or currency ("Virtual Goods") that can be purchased with real money or earned through gameplay. You acknowledge that:

• Virtual Goods have no monetary value and cannot be exchanged for real money or other items of value.
• All purchases of Virtual Goods are final and non-refundable.
• We reserve the right to manage, regulate, or eliminate Virtual Goods without liability to you.

7.2 Restrictions

You agree not to:

• Sell, trade, or transfer Virtual Goods outside the Services.
• Purchase Virtual Goods from unauthorized third parties.

8. Conduct and Community Guidelines

You agree not to engage in any of the following prohibited activities:

• Harassing, threatening, or defaming other users.
• Posting or transmitting content that is illegal, harmful, or offensive.
• Using the Services for any commercial purpose without our written consent.
• Attempting to interfere with or disrupt the Services.

We reserve the right to remove content or suspend accounts that violate these guidelines.

9. Events and Promotions

9.1 Participation

We may offer events, contests, or promotions ("Events") through the Services. Participation in these Events is subject to additional terms and conditions, which will be provided at the time of the Event.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your requirements.
• The Services will be uninterrupted, timely, secure, or error-free.
• Any errors in the Services will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLYPHZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of the Services.
• Any conduct or content of any third party on the Services.
• Unauthorized access, use, or alteration of your content or information.

Our total liability to you for all claims arising from the use of the Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Glyphz, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Services.

• Your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your rights to use the Services will cease immediately.

You may terminate your account at any time by following the instructions provided in the Services.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

14.2 Arbitration

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted by the American Arbitration Association under its Commercial Arbitration Rules.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in a class action lawsuit or class-wide arbitration.

We may modify these Terms from time to time. If we make material changes, we will notify you by updating the "Effective Date" and posting the new Terms on our website. Your continued use of the Services after the changes take effect constitutes your acceptance of the new Terms.

15.2 Entire Agreement

These Terms, along with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Glyphz.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
